Terms and Conditions

GrayCoder · Effective January 2025 · Angel Pelaye

1 Parties to the contract

This document establishes the terms and conditions governing the commercial relationship between GrayCoder (hereinafter "the Provider"), represented by Ángel Pelaye, based in Brazil, and the Customer, an individual or legal entity that hires any of the services offered.

By hiring any GrayCoder service, the Customer declares to have read, understood and accepted the entirety of these terms.

2 Services offered

GrayCoder provides digital development services, including but not limited to:

The specific services and deliverables will be defined in the individual contract signed digitally by both parties.

3 Budget and formalization

Every project begins with a detailed budget sent to the Customer. Acceptance of the budget does not imply start of the project; start is formalized only with the digital signature of the contract and payment of the corresponding deposit.

Budgets are valid for 15 calendar days from issuance. After this period, values are subject to review.

4 Payment conditions

The standard payment scheme is as follows:

Deposit percentages may vary without prior notice depending on the service hired, the scale of the project, or the customer profile. The specific deposit will be indicated in the contract.

International payments are made in US Dollars (USD) via SWIFT or IBAN bank transfer. Local payments (Brazil) are accepted in all available means. GrayCoder issues both national and international invoices.

5 Meetings and communication

GrayCoder adopts an efficient work model, oriented to measurable results instead of constant meetings. Project tracking is done through a shared Gantt Chart updated in real-time, plus periodic reports sent by email.

Meetings cannot be cancelled with less than 24 hours notice. Cancellations outside this period will not be rescheduled. Two consecutive cancellations will represent a penalty of USD 50, due before the next project milestone.

6 Changes and project scope

The project scope is defined in the initial contract. Any modification requested by the Customer must be evaluated, re-quoted and accepted by signing a digital extension of the original contract.

Requests that exceed the hired scope will be treated as new services, with independent quote and contract.

7 Contractual breach

Breach of any contract clause by the Customer may lead to:

The Provider reserves the right to cancel contracts due to behaviors that hinder project execution, including lack of response, obstruction of processes or conduct contrary to commercial good faith.

8 Intellectual property and deliverables

Once 100% of the project is paid, the Customer acquires use rights over the final deliverables agreed in the contract. GrayCoder retains the right to include the work in its portfolio, unless a specific confidentiality agreement is made.

Code, designs and materials produced during the project remain property of GrayCoder until the total payment is completed. The Provider will not deliver access credentials, source code or editable files until full settlement of the service.

9 Warranties and responsibilities

GrayCoder commits to deliver work with the highest quality and professionalism, within the agreed deadlines. However:

GrayCoder is not responsible for downtime of third-party services (hosting, domains, external APIs) or for data loss caused by Customer actions.

10 Monthly Plan

The Monthly Plan is a service of maintenance, support and accompaniment with a fixed price agreed monthly. It includes work hours defined in the contract and is not cumulative between months. The price can be reviewed with 30 days' notice. Cancellation must be notified at least 30 days in advance.

Recommended for large-scale projects requiring active, secure and constantly evolving platforms.

11 Confidentiality

Both parties commit to maintain the confidentiality of all sensitive information exchanged during the commercial relationship. Customer information will not be shared with third parties unless required by law. Similarly, the Customer will not disclose GrayCoder's methodologies, tools or internal documentation.

12 Jurisdiction and applicable law

For customers based in Brazil, contracts are governed by Brazilian legislation (Law 10,406/2002 — Civil Code and complementary rules). For international customers, the parties will agree on the applicable jurisdiction in the individual contract.

In case of dispute, the parties will attempt to resolve the conflict amicably before resorting to judicial or arbitration instances.

13 Modifications to these terms

GrayCoder reserves the right to update these Terms and Conditions at any time. Changes will be published in this document indicating the update date. Ongoing contracts are governed by the terms in force at the time of signing.
